UnRetire is a marketplace, an online platform for retirees and companies to find and connect with each other. UnRetire is not party to the agreement between the retiree and the company. The company and retiree both are responsible to vet each other to ensure desired performance outcomes.

The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Terms of Use"), govern your access to and use of https://UnRetire.io. Please read the Terms of Use carefully before you start to use the Website. By using the Website you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, found in Privacy Policy.

If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Website. If you do not agree to comply with these terms you must not use the website or portals.

We may revise and update these Terms of Use from time to time at our sole discretion. When a company posts a project on the UnRetire platform, they may only contact retirees in relation to that specific project. Companies are prohibited from inviting candidates to apply for any project other than the one currently posted on the platform. Once a project is no longer active, the company may not contact retirees for that project or any other project unless a new project post is created.

We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, at our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Website, or the entire Website, to users, including registered users. You are responsible for both:

• Making all arrangements necessary for you to have access to the Website.
• Ensuring that all persons who access the Website through your internet connection are aware of these Terms of Use and comply with them.

To access the Website or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Website that all the information you provide on the Website is correct, current, and complete. UnRetire's services are fee-based and payment is on a monthly basis. UnRetire provides no cancellation or refund for projects posted. When a project is posted, an invoice will be emailed to the company via the email address provided by the company on the payment screen. Once the invoice is paid, in the case of an ACH (Automated Clearing House) this could take several days, the projects will appear in the retiree portal.

If any payment is returned unpaid or if any credit card or similar transaction is rejected or denied, UnRetire or its service providers reserve the right to collect any applicable return item, rejection, or insufficient funds fee to the maximum extent permitted by applicable law and to process any such fees as an Electronic Payment or to invoice any such Customer for the amount due.

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by UnRetire, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. As set forth in this paragraph, these Terms of Use permit you to use the Website for your personal, non-commercial use only. This means that you must not commercialize your access to the Website, such as by reproducing, distributing, modifying, creating derivative works of, publicly displaying, publicly performing, republishing, downloading, storing, or transmitting any of the material on our Website, except as follows

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.

The following terms of use apply to the use of the Website by Retirees. Employers may offer you the opportunity to participate in hiring activities that might be supported by the Website. You acknowledge and understand that employers select the method and manner that the Website will be used for its project openings and that the employer determines the project requirements and specific needs of its hiring efforts.

YOU UNDERSTAND AND AGREE THAT EMPLOYER IS RESPONSIBLE FOR COMPLYING WITH APPLICABLE LAW REGARDING ITS EMPLOYMENT AND HIRING PRACTICES, INCLUDING WITHOUT LIMITATION TITLE VII OF THE CIVIL RIGHTS ACT OF 1964, AS AMENDED ("TITLE VII"), THE AGE DISCRIMINATION IN EMPLOYMENT ACT OF 1967, AS AMENDED, THE AMERICANS WITH DISABILITIES ACT OF 1990, AS AMENDED, AND THE CIVIL RIGHTS ACT OF 1991, AS AMENDED, AND THAT EMPLOYER INDEMNIFIES UNRETIRE AGAINST ANY AND ALL CLAIMS ARISING FROM EMPLOYER'S USE OF THE WEBSITE OR SIMILAR PRODUCTS. UNRETIRE DISCLAIMS ALL LIABILITY AND MAKES NO WARRANTY THAT EMPLOYER'S USE OF THE WEBSITE COMPLIES WITH TITLE VII OR ANY SIMILAR LAW.

UnRetire is not an employment agency. UnRetire does not make any hiring decisions on behalf of employers.

The following terms of use apply to the use of the Website by employers.

By using the Website as an Employer, you agree to the following:

• All project postings will be for legitimate and actual project opportunities (e.g., no advertisements disguised as a project opportunity, no illegal pyramid schemes, etc.)

• Project postings should clearly communicate the necessary details regarding the project position. Including:
  • Postings should be properly categorized by project line of business, area of expertise, hourly rate or commission, working arrangement (remote, hybrid or on-site).
  • Project descriptions must clearly communicate the expected duties of the position, including responsibilities and qualifications.
• Employers should avoid spam tactics.
• Project postings may not solicit services or include an advertisement unrelated to the available project position.
• All project postings are subject to our review and approval process. We retain the right to remove any project posting for any reason. In our sole and absolute discretion, we may work with an employer to attempt to revise any project posting so that it meets these guidelines and our policies and expectations.

We offer consultations to employers to create the best project posting and can also create project postings for an employer. Please contact contact@UnRetire.io if interested.

By using the Website as an employer, you agree to indemnify, defend and hold harmless UnRetire, its agents, affiliates, and licensors from any claim or liability (including without limitation reasonable legal fees) arising out of or related to: (a) your violation of any term of this Agreement; (b) your use of, and access to, the Website or any UnRetire product, program, or service; (c) your loss of, or disclosure of, information gained from using the Website or any UnRetire product, program, or service; (d) your violation of any applicable laws or regulations, including but not limited to Title VII, the Fair Credit Reporting Act, any applicable employment, equality, or discrimination laws, and any applicable data protection or privacy laws (this includes any claims that UnRetire as your agent violated any such laws); (e) your violation of any third party right, including without limitation any copyright, property, or privacy right; (f) any claim that your content caused damage to a third party; (g) your actions as an employer, including without limitation doing or not doing the following: screening, hiring, promoting, or demoting any employee or project seeker; or (h) the activities of any third-party service providers you engage to assist you with activities related to your use of UnRetire products and services. The Website may contain profiles, blogs, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, "post") content or materials (collectively, "User Contributions") on or through the Website. For the avoidance of doubt, "User Contributions" include project postings created by Employers and profiles, resumes and other personal information provided by Retirees. The provisions of these Terms of Use that apply to User Contributions apply to these materials as well. All User Contributions must comply with the Content Standards set out in these Terms of Use. Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Website, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, display, distribute, and otherwise disclose to third parties any such material for any purpose. You represent and warrant that:

• You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.
• All of your User Contributions do and will comply with these Terms of Use.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not UnRetire, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. The user can unsubscribe from these notifications at any time. UnRetire.io will not disclose user personal data to any third party.

We do not share, sell, or disclose your personal information to third parties without your explicit consent, except where required by law. Your information is kept confidential and used solely for the purposes to which you have agreed.
